LeaderShift for Executives ("the App") is a confidential AI thinking partner for executive leaders. These Terms govern how you may use the App and the expectations we have of you as a user.

The App is operated by LeaderShift LLC, a Wyoming limited liability company.

Not Medical, Mental Health, Legal, or Financial Advice

LeaderShift for Executives is a professional reflection and decision-support tool. It is not therapy, counseling, medical treatment, legal advice, financial advice, fiduciary advice, or crisis intervention.
Conversations with the App and the Boardroom personas are intended to surface questions and perspectives, not to direct operational decisions for your organization.
Consult licensed counsel, a qualified financial advisor, your board, or other appropriate professionals before acting on anything generated by the App.
If you are in crisis, call 911 or text 988.

Eligibility & Responsible Use

You must be at least 18 years old.
You must be legally permitted to use AI tools in your jurisdiction.
You agree not to enter content that violates law, fiduciary duty, NDAs, attorney-client privilege, employee privacy, or any confidentiality obligation you owe to a third party.
You are responsible for any data you enter. Avoid sharing material you cannot share, and avoid identifying specific employees, donors, board members, clients, or other third parties by name where their privacy interests apply.

Accounts

You may sign in using Apple, Google, or an email and password.
You are responsible for keeping your sign-in credentials secure and for activity under your account.
You may delete your account at any time from Settings. Deletion is described in our Privacy Notice.

Subscriptions, Payments, and Trials

Access to the App is sold as an auto-renewing subscription managed through the Apple App Store. Pricing, trial length, and renewal terms are shown at the point of purchase.
Payment is charged to your Apple ID at confirmation. Subscriptions automatically renew at the end of each period unless you cancel at least 24 hours before the end of the current period.
Manage or cancel your subscription in your Apple ID settings. Deleting the App does not cancel your subscription.
Refunds are handled by Apple per Apple's policies.

Conversations and Data

Conversations you have with the App and with Boardroom personas are transmitted to and stored on servers we operate, in the United States. Our Privacy Notice describes what we collect, how it is stored, who processes it, and your control over it. By using the App you agree to those practices.

Acceptable Use

You agree not to:

Use the App for any unlawful purpose.
Attempt to reverse engineer, decompile, or extract source code or model weights.
Probe, scan, or test the security of the App or its infrastructure without our written permission.
Use the App to generate content that is illegal, harassing, defamatory, or that infringes someone else's rights.
Resell, white-label, or expose the App to third parties as a service without a written agreement.

We may suspend or terminate access if usage indicates abuse, risk to other users, or violation of these Terms.

Feedback

If you give us product feedback, you grant us a non-exclusive, royalty-free, perpetual license to use it to improve LeaderShift for Executives without obligation to you.

Updates

We may update the App and these Terms. Material changes will be communicated in-app or by email. Continued use after the effective date of an update constitutes acceptance of the updated Terms.

Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR SPECIFIC SITUATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADERSHIFT LLC, ITS AFFILIATES, AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE APP WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend and indemnify LeaderShift LLC against claims arising from your use of the App, your content, or your violation of these Terms or applicable law.

Dispute Resolution; Arbitration; Class Waiver

Before filing any claim, you agree to contact us at support@leadershift.app to attempt informal resolution. If a dispute is not resolved within 60 days, you and LeaderShift LLC agree to resolve it through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

YOU AND LEADERSHIFT LLC EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Either party may seek injunctive relief in court to protect intellectual property rights.

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Subject to the arbitration provision above, exclusive venue for any permitted court action is in the state and federal courts located in Sheridan County, Wyoming.

Apple Standard EULA

This App is licensed under Apple's Standard End User License Agreement, available at apple.com/legal/internet-services/itunes/dev/stdeula. Where these Terms conflict with that EULA on App Store-required matters, the EULA controls.
